Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Up2, including our website at up2.chat and our mobile applications (together, the “Service”). The Service is operated by TRULY INC LIMITED (UP2) (“we”, “us”, “our”), with its registered address at 483 Prime Apartments, Green Lanes, London, N13 4FG, United Kingdom. By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Notice. If you do not agree, do not use the Service.

The Service is intended solely for adults aged 18 or older. You represent that you are at least 18 years old, that you have the legal capacity to enter into these Terms, and that your use of the Service does not violate any applicable law. We may require age verification at any time and may suspend or terminate accounts that cannot satisfy this requirement.

You are responsible for the activity that occurs under your account, for keeping your credentials secure, and for the accuracy of the information you provide. You may not share your account, impersonate another person, or create an account on behalf of someone else without authorization.

You agree not to use the Service to:

• harass, threaten, exploit, or impersonate any person;
• display, request, or solicit sexually explicit content, content involving minors, self-harm, or violence;
• share personal information of others, recordings of other users, or content that infringes another party’s rights;
• attempt to circumvent moderation, age-verification, or rate-limiting controls;
• use bots, scrapers, or automated means to access the Service;
• resell, sublicense, or commercially exploit the Service without our consent.

We use automated and human moderation, including third-party services, to enforce these rules. Violations may result in warnings, removal of content, suspension, or permanent termination of your account, in our discretion.

The Service pairs users for live video and audio. You should treat every session as if it could be seen by people you do not know. We do not record video sessions by default. Other participants may be in different jurisdictions, and we cannot guarantee their conduct. You participate at your own risk.

Some features require a paid subscription. Web subscriptions are processed by Stripe; iOS subscriptions are processed by Apple under the App Store’s rules. Subscriptions auto-renew at the then-current price until cancelled. You can cancel at any time from your account settings (web) or App Store subscription settings (iOS). Refunds, where required, are governed by the applicable platform’s policy and applicable law.

You retain ownership of the content you submit (such as your profile information and photos). You grant Up2 a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display that content solely to operate and improve the Service. You are responsible for ensuring you have the rights to any content you upload.

The Service, including the Up2 name, logo, design, and software, is owned by us and our licensors and is protected by intellectual-property laws. Except for the limited rights granted in these Terms, we reserve all rights.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if we believe you have violated these Terms or pose a risk to other users. On termination, your right to use the Service ends; sections that by their nature should survive will survive.

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any particular content or user will meet your expectations.

To the maximum extent permitted by law, Up2 and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, arising out of or in connection with your use of the Service. Our aggregate liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim arose or USD 100.

We may update the Service and these Terms from time to time. When we make material changes, we will update the “Last updated” date above and may request your renewed acceptance. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of England and Wales, without regard to its conflict-of-laws provisions. Disputes will be resolved in the competent courts of that jurisdiction, unless mandatory consumer law in your place of residence provides otherwise.
